Say Word Curriculum - Package A

This Purchase and License Agreement (“Agreement”) between Kathryn Magill (“Author”) and the undersigned purchaser (“Purchaser”) is effective on the date executed by Purchaser. Author and Purchaser are referred to collectively as the “Parties.”

• Intellectual Property. Purchaser acknowledges that Author owns all right, title, and interest in and to the copyrights and trademarks in the SayWord educational materials, including the SayWord Textbook (“Textbook”), and the SayWord Website and SayWord Webinars (collectively, the “Online Materials”). Purchaser will not make claim to ownership during facilitation of textbook or online materials and acknowledge Say Word as primary owner and creator of materials. 

• Textbook and Online Materials. Purchaser shall purchase packages for each teacher (“User”) consisting of (a) one (1) Textbook and (b) one (1) year of access to the Online Materials for one (1) User. Purchaser shall receive a unique username and password with which to access the Online Materials for each User, and Purchaser shall not allow any individual other than the User to utilize the User’s login credentials. Purchaser agrees that if more than one User utilizes a single username and password, such Users’ access to Online Materials may be suspended or revoked without refund. Neither Purchaser nor any User shall not copy, display, or distribute the Online Materials without the prior written consent of Author. Purchaser may renew a User’s access to the Online Materials annually upon payment of an annual subscription fee.

• License. Upon Purchaser’s payment in full for the Textbook and Online Materials, Author grants a non-exclusive, limited license to each authorized User to copy worksheets from the Textbook solely for distribution to such User’s current students of the SayWord curriculum, and solely for educational purposes. Neither Purchaser nor User shall copy or allow to be copied the entire Textbook under any circumstances.

• Relationship. This Agreement does not constitute and shall not be construed as constituting a partnership or joint venture between Author and Purchaser. Neither party shall have any right to obligate or bind the other party in any manner whatsoever, and nothing herein contained shall give, or is intended to give, any rights of any kind to any third persons.

• Choice of Law. This Agreement shall be interpreted in accordance with the laws of the state of California, without respect to its conflicts of laws provisions.

• Dispute Resolution. Any dispute arising out of this Agreement shall be resolved in a court of competent jurisdiction in Los Angeles County, California, and the Parties agree to exclusive jurisdiction and venue in Los Angeles County, California.

• Entire Agreement. This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof. Any waiver, variation, or amendment of any term or condition of this Agreement shall be effective only if signed by authorized representatives of the Parties hereto.
